28 June 2001 - ICC has come up with two more products to make business
easier for international
traders - simplified versions of its model agency and distributorship contracts.
The new short form contracts
provide a working tool for business partners who are engaged in relatively straightforward
transactions that have no need of detailed contractual provisions. They cover
all the essential issues and save time and costs.
The agency model is designed
mainly for agents who promote the sale of goods. It can also be applied to agents
who promot
e services, but in that case the parties should check whether all
clauses are appropriate for their situation.
Many clauses in both models
include the words "unless otherwise agreed". This wording has been
used to draw the attention of users to the possibility of choosing other solutions
more appropriate to their specific needs.
For more complicated transactions,
users should refer to the more sophisticated provisions of the "long"
versions of the ICC Model Agency Contract (ICC publication No.496, or the ICC
International Distributorship Contract (Sole importer-distributor) (ICC publication
No. 518).
